Deduction and any payment required in connection with that Tax Deduction within the time allowed and in the minimum amount required by law. 如果借款人应要求进行税款减免，借款人应在允许的时间内按照法律规定的最低金额进行与税款减免相关的扣减并支付任何款项。
12.2 Tax Indemnity税收补偿
The Borrower shall (within three (3) Business Days of a demand by the Lender) pay to the Lender an amount equal to the cost, loss or liability which the Lender determines will be or has been (directly or indirectly) suffered for or on account of Tax by the Lender in respect of this Agreement.
借款人应（在贷款行要求的三（3）天之内）向贷款行支付金额等同于贷款行确定其将要或已经（直接或间接）就本协议而言遭受的成本、损失或责任。
12.3 Stamp Taxes印花税
The Borrower shall pay and, within three (3) Business Days of a demand by the Lender, indemnify the Lender against any cost, loss or liability that the Lender incurs in relation to all stamp duty, registration and other similar Taxes payable in respect of this Agreement.
借款人应在贷款行要求的三（3）天之内对贷款行任何就本协议而言与所有应付印花税、注册或其它类似税费有关的任何成本、损失或责任予以支付并补偿。
13. INCREASED COSTS增加成本 13.1 Increased Costs增加成本
(a) The Borrower shall, within three (3) Business Days of a demand by the Lender, pay for the account of the Lender the amount of any Increased Costs incurred by the Lender as a result of: 借款人应在贷款行要求的三（3）天之内支付贷款行由于以下原因而发生的任何增加成本：
(i) the introduction of or any change in (or in the interpretation, administration or application of) any law or regulation; or
任何法律法规的介绍或（其解释、管理或适用范围）发生任何变更情况；或
(ii) compliance with any law or regulation made after the date of this Agreement. 遵守本协议签订日期后制定的任何法律法规。
(b) In this Agreement \在本协议中“增加成本”是指：
(i) a reduction in the rate of return from the Facility or on the Lender's overall capital; 该贷款的回报率降低或贷款行的总资金减少；
(ii) an additional or increased cost; or附加或增加成本；或
(iii) a reduction of any amount due and payable under this Agreement, 本协议项下到期应付的任何款项减少。
which is incurred or suffered by the Lender to the extent that it is attributable to the Lender having entered into its Commitment or funding or performing its obligations under this Agreement.

14. OTHER INDEMNITIES其他赔偿 14.1 Currency Indemnity货币赔偿
(a) If any sum due from the Borrower under this Agreement (a \award given or made in relation to a Sum, has to be converted from the currency (the \Currency\purpose of:
如果借款人在本协议项下的任何款项到期（以下简称为“款项”），或作出与该款项有关的任何命令、判决或裁决，则该款项应由该款项的支付货币（“第一货币”）转换为另一种货币（“第二货币”），其目的如下：
(i) making or filing a claim or proof against the Borrower; or对借款人提出索赔或证明；或
(ii) obtaining or enforcing an order, judgment or award in relation to any litigation or arbitration proceedings,

the Borrower shall as an independent obligation, within three (3) Business Days of demand, indemnify the Lender against any cost, loss or liability arising out of or as a result of the conversion including any discrepancy between (A) the rate of exchange used to convert that Sum from the First Currency into the Second Currency and (B) the rate or rates of exchange available to that person at the time of its receipt of that Sum.
借款人应在贷款行要求的三（3）个工作日内对贷款行由于转换而产生的任何成本、损失或责任予以补偿，作为其单独义务，该转换包括用于将款项从第一货币转为第二货币的汇率（A）与收款人收到该款项时的适用汇率（B）之间的差异。
(b) The Borrower waives any right it may have in any jurisdiction to pay any amount under this Agreement in a currency or currency unit other than that in which it is expressed to be payable. 借款人放弃其在任何辖区以货币或货币单位而非任何应付款项支付本协议项下任何款项的任何权利。
14.2 Other Indemnities其他赔偿
The Borrower shall, within three (3) Business Days of a demand, indemnify the Lender against any cost, loss or liability incurred by the Lender as a result of:
借款人应在贷款行要求的三（3）个工作日内对贷款行由于以下原因而产生的任何成本、损失或责任予以补偿：
(a) the occurrence of any Event of Default; 发生任何违约事件;
(b) a failure by the Borrower to pay any amount due under this Agreement on its due date; 借款人未能在款项到期日支付本协议项下的任何到期应付款项；
(c) funding, or making arrangements to fund, a Loan requested by the Borrower in a Utilisation
Request but not made by reason of the operation of any one or more of the provisions of this Agreement (other than by reason of default or negligence by the Lender alone); or 提供资助或安排资金，借款人在提款申请中申请的贷款并非出于本协议任何或多条规定之原因（也非由于贷款行单方违约或过失）；或
(d) a Loan (or part of a Loan) not being prepaid in accordance with a notice of prepayment given by the Borrower.
未按照借款人给出的提前还款通知进行提前还款（或部分还款）。
15. COSTS AND EXPENSES成本和开销 15.1 Transaction Expenses交易开销
The Borrower shall promptly on demand pay to the Lender the amount of all costs and expenses (including legal fees) reasonably incurred by the Lender in connection with the negotiation, preparation, printing, execution and implementation of this Agreement and any other documents referred to in this Agreement.
借款人应贷款行之要求，应立即支付贷款行与本协议的协商、编制、打印、执行及实施以及本协议中涉及的任何其它文件有关的所有合理成本和开销（包括法律费用）。
15.2 Amendment Costs修订成本
If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required by law, the Borrower shall, within three (3) Business Days of demand, reimburse the Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Lender in responding to, evaluating, negotiating or complying with that request or requirement.
如果（a）借款人要求修订、弃权或同意修订或（b）应法律要求进行修订，借款人应在贷款行要求的三（3）个工作日内，对贷款行由于回应、评估、协商或遵守该申请或要求而产生的所有合理成本和开销（包括法律费用）予以补偿。
15.3 Enforcement Costs执行成本
The Borrower shall, within three (3) Business Days of demand, pay to the Lender the amount of all costs and expenses (including legal fees), such as translation, accommodation and travel expenses, incurred by the Lender in connection with the enforcement of or the preservation of any rights under this Agreement.
借款人应在贷款行要求的三（3）个工作日内，对贷款行与执行或保留其在本协议项下的任何权利而产生的所有成本和开销（包括法律费用）予以支付，例如翻译费、住宿费和交通费。
6. REPRESENTATIONS声明
The Borrower makes the representations and warranties set out in this Clause 16(Representations) to the Lender on the date of this Agreement.
借款人在本协议签订之日对贷款行做出第16条（声明）中列明的声明和保证。
16.1 Status状态
(a) It is a company duly incorporated and validly existing under the law of its jurisdiction of incorporation.
该公司是按照其管辖区法律正式注册成立并有效存续的公司。
(b) It has the power to own its assets and carry on its business as it is being conducted. 该公司有权拥有其资产并从事其正在进行的业务。
16.2 Binding Obligations约束性义务
The obligations expressed to be assumed by it in this Agreement are, subject to any general principles of law limiting its obligations which are specifically referred to in any legal opinion delivered pursuant to Clause 4 (Conditions of Utilisation), legal, valid, binding and enforceable obligations.
借款人在本协议中表明要承担的义务应以任何一般法律原则限定的义务为准，其义务在根据第4条（提款条件）提交的任何法律意见中特别提及，是合法的、有效地、有约束力且可执行的义务。
16.3 Non-Conflict with Other Obligations与其他义务无冲突
The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with:

(a) any law or regulation applicable to it; 任何适用法律或法规;
(b) its or any of its Subsidiaries' constitutional documents; or 其或任何其子公司的宪制性文件;或
(c) any agreement or instrument binding upon it or any of its assets. 任何具有约束力的协议或文书或任何资产。
16.4 Power and Authority权力与权限
It has the power to enter into, perform and deliver, and has taken all necessary action to authorise its entry into, performance and delivery of, this Agreement and the transactions contemplated by this Agreement. 借款人有权签订、履行与交付并采取所有必要措施授权本协议的签订、履行与交付以及本协议中拟定的交易。
16.5 Governmental Authorizations政府授权书
All governmental Authorizations and actions of any kind necessary to authorise the execution and performance of this Agreement or required for the validity and enforceability against the Borrower of this Agreement have been duly obtained or performed and are valid and subsisting in full force and effect.
授权本协议的执行与实施的所有政府授权书或任何必要行动或本协议项下借款人的有效性和可执行性已正式获得或执行且继续有效。
16.6 Commercial Acts商业行为
The Borrower is subject to civil and commercial law with respect to its obligations under this Agreement and the Borrower’s performance of its obligations hereunder constitutes private and
commercial acts rather than governmental or public acts.
借款人受与其在本协议项下义务有关的民法及商法的约束，且借款人履行其在本协议项下之义务应构成私人和商业行为而非政府或公共行为。
16.7 Validity and Admissibility in evidence证据的有效性及可采用性
All Authorizations required or desirable: 所有必须及必要授权：
(a) to enable it lawfully to enter into, exercise its rights and comply with its obligations in this Agreement; and
使其合法签订本协议，行使其在本协议项下的权利并履行其在本协议项下的义务；以及
(b) to make this Agreement admissible in evidence in its jurisdiction of incorporation, 证明本协议在其公司管辖区内的可行性。

16.8 Governing Law And Enforcement适用法律与执行
(a) The choice of Korean law the governing law of this Agreement will be recognised and enforced in its jurisdiction of incorporation.

(b) Any judgment obtained in Korea in relation to this Agreement will be recognised and enforced in its jurisdiction of incorporation.
在韩国获得的有关本协议的任何判决均将被确认并在其管辖区内执行。
16.9 No Filing or Stamp Taxes无备案或印花税
Under the laws of its jurisdiction of incorporation it is not necessary that this Agreement be filed, recorded or enrolled with any court or other authority in that jurisdiction or that any stamp, registration or similar tax be paid on or in relation to this Agreement or the transactions contemplated by this Agreement. 在其公司设立的管辖区法律项下，该协议无需在该管辖区内的任何法院或其它机构进行备案、存档或登记或对本协议或本协议拟进行的交易缴纳任何印花税、注册登记税或类似税费。
16.10 No Default无违约事件
(a) No Event of Default is continuing or might reasonably be expected to result from the making of any Utilisation.
无违约事件存续，或无由任何提款行为造成的任何合理的预期违约事件。
(b) No other event or circumstance is outstanding which constitutes a default under any other agreement or instrument which is binding on it or to which its assets are subject which might have a Material Adverse Effect
