1. 定义与解释 1.1 定义

\Dollars for the relevant Interest Period which appears on the “3750” page, or such other page for the purpose of displaying such rate of interest, of the Reuters screen on the Quotation Day for such period. If the agreed page is replaced or service ceases to be available, the Lender may specify another page or service displaying the appropriate rate after consultation with the Borrower.

“伦敦银行同业拆借利率”是指英国银行家协会（以下简称为“BBA”）针对美元在相关计息期的结算利率，相关计息期详见第“3750”页或路透社为公布该利率于计息期报价日在银屏显示的其它页面。如果上述页面被替换或服务终止，贷款行与借款人协商后可指定另一页面或服务以公布合适利率。

\thereof), an effect which materially impairs, or is reasonably likely materially to impair:

“重大不利影响”是指对以下内容的任何方面造成或可能造成重大损害的任何事件或情况（或二者兼备）：

(a) the ability of the Borrower to perform and comply with any of its payment or other material obligations under this Agreement;

(b) the ability of the Borrower to perform and comply with its material obligations under the Contract;

(c) the business, operation or financial condition of the Borrower which, in each case, is, or could reasonably be expected to be, materially prejudicial to the interests of the Lender under or in connection with this Agreement;

(d) the validity, enforceability or priority of any Security interest purported to be created under this Agreement or the Guarantee in a manner or to an extent that is or would be prejudicial to the ability of the Lender to enforce any Security interest. 在本协议项下设立的任何担保物权的有效性、可执行性或优先权，或可能或在一定程度上对贷款行行使任何担保物权的能力造成损害的担保。

\corresponding day in the next calendar month, except that:

“月”是指自公历月份的一天起至下一个公历月份相应日期结束的期限，下列情况除外：

(a) subject to paragraph (c) below, if the numerically corresponding day is not a Business Day, that period shall end on the next Business Day in that calendar month in which that period is to end if there is one, or if there is not, on the immediately preceding Business Day;

根据下文第（c）条，如果相应日期为非工作日，且在本月范围内，则该期限顺延至该公历月份的下一个工作日，或者，如果不在本月范围内，则顺延至最近的一个工作日；

(b) if there is no numerically corresponding day in the calendar month in which that period is to end, that period shall end on the last Business Day in that calendar month; and

如果相应日期不在该期限截止日内，则该截止日应该为该公历月的最后一个工作日；以及

(c) if an Interest Period begins on the last Business Day of a calendar month, that Interest Period shall end on the last Business Day in the calendar month in which that Interest Period is to end. 如果计息期自公历月份的最后一个工作日开始计算，则该计息期须在其即将终止的公历月份 最后一个工作日结束。

The above rules will only apply to the last Month of any period. 以上规则仅适任何时期的最后一个月。

\缔约方”指本协议的一方。

\first Utilisation.

\means a mortgage, charge, pledge, lien or other security interest securing any obligation of any person or any other agreement or arrangement having a similar effect.

“担保”是指任何按揭、押记、质押、留置权或其它保障任何人的任何义务的担保权益或任何种类的协议或具有类似效果的安排。

\means any tax, levy, impost, duty or other charge or withholding of a similar nature (including any penalty or interest payable in connection with any failure to pay or any delay in paying any of the same).

“税费”是指任何税费、税赋、税款、税收或其他具有类似性质的征收或预提（包括任何因未能支付或迟延支付任何上述税项而应付的罚金或利息）。

\Deduction\means a deduction or withholding for or on account of Tax from a payment under this Agreement.

“税额扣减”是指在本协议项下从付款中扣除或扣缴的税收金额。

\and payable but unpaid by the Borrower under this Agreement.

“未支付金额”是指本协议项下到期应付但借款人却未支付的任何款项（包括但不限于本金、利息和/或费用）。

\“美元” ， “USD”或“US$”是指美利坚合众国的法定货币。

1.2 Construction解释

(a) Unless a contrary indication appears, any reference in this Agreement to: 除非有相反指示，否则本协议中的任何参考应解释如下：

(i) the \title, permitted assigns and permitted transferees;

(v) a \not having the force of law) of any governmental, intergovernmental or supranational body, agency, department or of any regulatory, self-regulatory or other authority or organisation; and “规定”包括任何政府、政府间或超国家团体、代理、部门或任何监管、自我监管或其它机关或组织的法规、规则、官方指令、要求或指导方针；以及

(vi) a provision of law is a reference to that provision as amended or re-enacted. 法律规定作为修订或重新规定的参考。

(vii) words indicating the singular will include the plural and vice versa where the context requires. 本协议中，单数用语亦包括复数，反之亦然。

(b) Unless a contrary indication appears, a reference to \Agreement means a determination made in the absolute discretion of the person making the determination. 除非有相反指示，否则本协议中使用的 “决定”或“已决定” 均指决定人有绝对酌情权做出的决定。

(c) Section, Clause and Schedule headings are for ease of reference only. 本协议章节、条款及附表的标题仅供查阅方便之用。

(d) A Default (other than an Event of Default) is \if it has not been remedied or waived.

如果违约行为未经纠正或弃权，则该违约行为（违约事件除外） 则视为“继续存续”。

1.3 Third Party Rights第三方利益

A person who is not a Party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce or to enjoy the benefit of any term of this Agreement except as otherwise specifically provided in this Agreement, but even then the Parties hereto shall at all times be entitled to rescind or vary this Agreement without the consent of the person concerned.
