Principle

原则

Suppliers undertake to deliver merchandise that corresponds strictly to the legal requirements of the destined country and the technical specifications of the Purchase Order and the samples accepted by GI Buying Office

供应商提供的产品应严格符合目的地国家法律要求，并满足寰迪采购订单和确认样品技术要求。

Suppliers authorize GI to carry out any controls deemed necessary before the delivery of the merchandise, it being understood that this control in no way exonerates suppliers from their obligations.

供应商应准许寰迪在出货前对货物实施必要的控制，这种控制并不保证免除供应商的相关责任和义务。

Quality Process and Inspection Procedures

质量过程和验货流程

1, Factory Audit 工厂审核

GI’s suppliers should pass the FA（SA8000） performed by GI’s quality department. If the result of audit failed, GI will not continue to have business with the supplier. If the evaluation is generally acceptable with some remarks, the supplier should make a Corrective Action Plan for the detected defects.

寰迪的供应商必须通过寰迪质量部门的工厂社会责任审核。如果未通过，寰迪将不会继续与其合作；如大体通过，但仍有一些不足，供应商应制定改进计划以符合寰迪的要求。

2, Sample Preparation 样品准备

Supplier should prepare the wanted sample according to GI’s requirements. Detailed Product Specification Sheet (PSS) should accompany the final sample.

供应商应提供符合寰迪要求的样品，并需同时提供与样品一致的详细的产品技术规格表。

3, Raw material requirement 原材料要求

For all raw materials of products that require legal tests and certification. Suppliers should

provide full set of original Technical Construction File (like Plumbum , phthalates content of

harmful substances can not exceed the ASTM F963-07 & CPSIA test standard) to prove its products compliance with the import country legal requirements. GI is authorized to

keep a copy of the TCF for the inspection of the competent agency. If no existing certification, the supplier should apply it at one 3party certification company. The cost is on suppliers’ side. The aforementioned certification body should be legally accredited by the competent agency and approved by GI

为了证明产品所用之原材料符合法令测试和认证，供应商应提供全套技术支撑文件以证明产品是符合进口国法令要求的(如铅,邻苯二甲酸盐等有害物质含量不能超过美国 ASTM F963-07 及 CPSIA 测试标准)。供应商授权寰迪保留相关技术文件以备目的国官方机构查验。如还无认证，供应商应向有资质的第三方机构申请相关认证及测试。此费用由供应商承担。上述的认证机构需经目的国官方机构认可并经寰迪同意。

4, During production inspection 中期产品检验

GI is entitled to request production process file and quality control operation manual for checking and evaluation. GI’s QC has the right to supervise the production lines that are related to the quality of the final product (including lines of important sub-contracted components or product if applicable). GI has the responsibility to keep the supplier’s technical info confidential if no authorization from the supplier.

寰迪有权要求核对相关生产工艺文件和质量控制操作手册以校验和评估供应商的品质控制能力。寰迪的质量工程师有权监督与产品质量有关的生产线。寰迪有义务保证在未经供应商许可时不向任何第三方泄露相关信息 5, Final random inspection 终期随机检验

QCs of GI carry out the FRI. Inspection results are under the control of GI’s Quality Department.

寰迪的质量工程师进行终期检验。最终检验结果由寰迪品质部门作出。

The supplier should book inspection at GI 5 working days before the intended inspection. Urgent cancellation should be informed at least 2 working days in advance. Any missing inspection, the penalty USD300/TIME

供应商应提前五个工作日申请验货。临时取消验货应至少提早两个工作日通知。任何一次验货放空,惩罚措施300美金每次。

Suppliers must make sure that Pre-Shipment Inspection for a complete order takes place before the Latest Inspection Date requested by GI. If all merchandise belonging to an order is not inspected before or at the latest inspection date required by GI with a “pass” or “approval” result, Supplier must take the corresponding responsibilities. Suppliers must also be willing to accept partial

shipments (in case not all items of an order have passed inspection at the Latest Inspection Date with a “pass” or “approval” result) if GI gives corresponding instructions. 供应商应确保在寰迪要求的最终验货日期前联系寰迪完成指定定单的终期验货。如果一个订单中的所有货物在寰迪要求的验货日期到达时仍未通过验收，供应商应承担相关责任。如寰迪提出要求，供应商应接受分批出货。（如订单中的产品未全部通过验货）

Should Pre-Shipment Lab Testing be required for certain technical products before shipment of merchandise, GI’s Quality Department will decide if we should pick a certain number of samples during the manufacturing of merchandise or during Pre-Shipment Inspection in order to send said samples to be lab-tested. Samples are on supplier’s side. 对有关须进行出货前实验室测试技术类产品，寰迪的质量部将决定是否在产品生产过程中获终期检验期间抽取一定数量的样品进行实验室测试。样品由供应商提供。 All merchandise, including spare parts and additional merchandise destined to GI’s after Sales Service, must be inspected, and be lab-tested prior to shipment, if requested. On the inspection date, said inspection will take place only if 100% of the merchandise is produced, of which 80% must be packaged with appropriate label and pallet if applicable. All products have to be finally packed before the end of the inspection. The QC will perform inspection according to GI’s quality control requirements and list the anomalies and irregularities found compared to the purchase specifications. Once the inspection is completed, the QC will transmit its results to GI’s Quality Department. Supplier’s representative should sign on the written report. 如需要，所有发往寰迪的货物包括备件和售后服务时的产品必须在出货前检验。验货时，

The supplier should provide enough manpower, proper inspection environment, necessary test equipments to ensure the smooth inspection. Inspection standard and procedure vary with products.

供应商应提供足够的人力、合适的测试环境和必要的测试设备以确保检验的顺利进行。验货标准和流程随不同的产品而不同。

After studying the inspection and lab-test reports, merchandise may be approved or not approved by GI’s quality department.

检验结束后，寰迪质量部将依据验货结果和相关测试情况最终决定货物是否接受。 If GI’s QC can not perform inspection after arriving at the Seller’s premises on the Version

in advance agreed inspection date (missing inspection), the supplier should pay GI 300USD plus the two-way travel costs, if any. In case merchandise is not approved in the first inspection for quality problem, suppliers should take appropriate action and schedule a second inspection. Though any failed inspection cause negative influence on both parties cooperation, the cost for both the first inspection on GI’s side. but. we will lay aside to the re-inspection cost. If any failed re-inspection for the same order the supplier should pay SSL 300USD plus the two-way travel costs.

如果寰迪在事先确认的验货日期到达供应商验货地后不能及时验货（验货放空），供应商每次应支付买方300USD和相应的往返出差费用。如货物因质量问题未通过第一次验货，供应商应采取有效措施改正并制定第二次验货的时间表。尽管任何重验对双方合作产生负面影响，寰迪仍愿意承担第一次验货及先保留相关重验费用。如果货物仍需重验，供应商每次应支付买方300USD和相应的往返出差费用。

No order can be shipped without GI’s quality department’s approval of the Inspection Report. (Exception the special case )

如无寰迪质量部门的验货接受报告，任何订单都不准许出货。（特别情况除外） 6, Loading Supervision 监装

The supplier has the responsibility to ensure the safe and proper loading to guarantee the safe transportation.

供应商有责任安全正确的装载货物以确保安全运输。

Normally GI performs loading supervision for random shipment. 通常寰迪会随机监装出货。

GI’s quality department makes decision on any waiver or arrangement of loading supervision.

任何取消或者安排监装的确认由寰迪质量部门决定。 7, Feedback and continuous improvement 反馈和持续改进

As the strategic partner of GI, the supplier should take immediate action on the defects found

during the quality control process and the feedback of the end client. If any supplier is found with serious quality problems continuously and can not make timely correction, GI will take necessary measures that may lead stop of business cooperation. The supplier should take corresponding responsibilities.

作为寰迪的战略合作伙伴，供应商应对在质量控制过程中发现的缺陷和最终客户的反馈采取及时的行动以改进。对于连续发现重大质量问题并不能及时改进的供应商，寰迪将采取措施直至中止与其合作，并由供应商承担相关责任。
